Our Corporate Services Group provides expert Irish director and corporate services to a wide range of structured finance and investment vehicles. With deep experience across SPV asset classes—including CLOs, CMBS, SRT transactions, consumer loan and trade receivable deals, loan origination structures, and loan acquisition portfolios. The group has deep experience with the full spectrum of asset classes that typically utilise the Irish Section 110 tax regime.
Led by a senior team of Chartered Accountants, Chartered Tax Consultants, Chartered Company Secretaries, and Chartered Directors, we deliver a seamless, responsive service. Our corporate services professionals work in close collaboration with our legal, tax, and listing groups to ensure efficient execution at deal closing and throughout the transaction lifecycle.

Set-up Services
- Establishment: Incorporating the Irish SPV and setting up the statutory registers.
- Tax: Registering for corporation tax and VAT.
- KYC: Assisting with all set-up KYC and on-boarding procedures.
- Registrations: Registering for FATCA and CRS, registering the SPV with the Central Bank of Ireland, obtaining an LEI code, submitting the Section 110 registration, and assisting with any foreign tax registrations required.
- Transaction Closing: Reviewing and executing all transaction documents.

GOVERNANCE SERVICES
- Provision of two Irish resident Directors with relevant experience.

- Provision of share trustee services as nominee shareholder of the SPV.
- Maintaining the statutory books, including the register of beneficial owners.
- FATCA compliance.

ACCOUNTING AND TAX SERVICES
- Maintaining the accounting books and records.
- Preparing annual IFRS financial statements in line with Irish statutory timelines.
- Assisting auditors in completing the statutory audit.
- Preparing and filing bi-monthly and annual VAT calculations.
- Reviewing and signing the annual corporation tax return.
- Preparing iXBRL tagged financial statements for tax filing.
- Preparing and filing quarterly regulatory filings with the Central Bank of Ireland.
